LIVERIES.COM.AU GRAPHIC DESIGN ASSETS LICENSING AGREEMENT

This Licensing Agreement ("Agreement") is entered into by and between liveries.com.au a company registered in Australia NSW, with its principal place of business at PO BOX 207 Mittagong NSW Australia ("Licensor"), and the individual or entity purchasing the graphic design assets from the online shop located at liveries.com.au ("Licensee").

1. DEFINITIONS

1.2 "Vehicle" refers to a single automobile, motorcycle, or similar means of transportation.

1.3 "Motorsport Team" refers to a group or organization participating in professional or amateur motorsport events.

1.4 "Commercial Fleet Vehicles" refers to a group of vehicles owned or operated by a business for commercial purposes.

2. LICENSE GRANT

2.1 Upon payment of the applicable fee, Licensor grants Licensee a non-exclusive, non-transferable license to use the Graphic Design Assets on a single Vehicle.

2.2 The license is granted solely for the purpose of creating and applying a vehicle wrap design to the specified Vehicle.

3. ADDITIONAL CHARGES

3.1 If Licensee intends to use the Graphic Design Assets on more than one Vehicle, additional charges will apply.

3.2 For Motorsport Teams: Licensee shall pay an additional fee for each additional Vehicle featuring the Graphic Design Assets used by a Motorsport Team.

3.3 For Commercial Fleet Vehicles: Licensee shall pay an additional fee for each additional Vehicle featuring the Graphic Design Assets used by a Commercial Fleet.

4. PAYMENT

4.1 The applicable fees for additional Vehicles must be paid by Licensee before the Graphic Design Assets are applied to the additional Vehicles.

4.2 Payment details and options will be provided by liveries.com.au during the checkout process.

5. RESTRICTIONS

5.1 Licensee may not sublicense, sell, share, or distribute the Graphic Design Assets to any third party without prior written consent from Licensor.

5.2 Licensee may not modify or alter the Graphic Design Assets, except for customizing them for the intended Vehicle.

6. TERM AND TERMINATION

6.1 This Agreement is effective upon payment and will continue indefinitely.

6.2 Licensor may terminate this Agreement immediately if Licensee breaches any provision and all rights will be revoked to the design asset.

6.3 Upon termination, Licensee must cease using the Graphic Design Assets, and any additional charges remain due and payable.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Australia.

8. ACCEPTANCE

By purchasing and downloading the Graphic Design Assets from liveries.com.au, Licensee acknowledges and agrees to the terms and conditions of this Licensing Agreement.
